PHAZAR Corp. Announces New Rapid Transit System Antennas

PHAZAR Corp. announced the addition of four new mobile directional antennas to the ISM (instrument scientific medical) antenna product line. The ISM antennas have been qualified as key components in the automatic train control systems used to operate automated rapid transit systems, monorails and people movers for urban and airport applications. The antennas have been deployed with the automated people mover system that connects the remote parking areas, rental car facilities and airline terminals at DFW International Airport and San Francisco International Airport. PHAZAR CORP will provide the transit system antennas for the longest driverless airport people mover in Europe in 2006.
PHAZAR Corp. Subsidiary Antenna Products Corporation Awarded Contract

PHAZAR Corp. announced that its wholly owned subsidiary, Antenna Products Corporation in Mineral Wells, Texas, has been awarded a $1,733,482 firm fixed price subcontract from BAE Systems for the installation of Low Band and High Band Antenna Matching Unit Assemblies in Alaska. The installation work will start in June 2005 and is scheduled to be completed on Nov. 1, 2005.
PHAZAR Corp. Subsidiary Awarded Contract Worth Over $3 Million

PHAZAR Corp. announced that Antenna Products Corporation in Mineral Wells, Texas, a wholly owned subsidiary, was recently awarded a $3,723,531 firm fixed price subcontract from BAE SYSTEMS ATI for the production of 270 Low Band Antenna Matching Unit Assemblies and 346 High Band Antenna Matching Unit Assemblies. This equipment will be manufactured at Antenna Product Corporation's plant in Mineral Wells, Texas, and deliveries are scheduled to begin in June, 2005 and continue monthly through September, 2005.

PHAZAR Corp. and YDI Wireless Terminate Merger

PHAZAR Corp. and YDI Wireless, Inc. announced that they mutually agreed to terminate their contemplated merger. In connection with the termination, YDI agreed to pay Phazar $100,000 and to transfer certain equipment to it. Other than that payment and transfer, the companies released each other from all obligations arising from the contemplated merger.
PHAZAR Corp. and YDI Wireless Move Forward with Merger

PHAZAR Corp. and YDI Wireless, Inc. provided a status report on their contemplated merger. Effective September 30, 2004, YDI and Phazar amended the merger agreement in a technical manner. For tax purposes, the merger was restructured to be a forward triangular merger with Phazar merging into the YDI merger subsidiary instead of a reverse triangular merger with the YDI merger subsidiary merging into Phazar. Phazar will still end up as a wholly-owned subsidiary of YDI, and Phazar stockholders will still receive 1.2 shares of YDI common stock for each share of Phazar common stock they own. Also, Phazar has received a second opinion as to the fairness, from a financial point of view, of the contemplated merger to the Phazar stockholders. The receipt of this second fairness opinion had been a condition to Phazar completing the transaction. As a result, YDI and Phazar are moving forward with the process to complete the merger and hope to have the merger completed by November 30, 2004.
